　　中国海洋石油公司向美国优尼科公司发出收购要约，收购总额为185亿美元，中海油的收购方案为全现金方式，每股为67美元。除185亿美元的收购款外，中海油还将承担优尼科的所有债务约16亿美元。但最终中海油退出竞购。这次跨国并购案是当时中国企业涉及金额最多、影响最大的海外收购。一桩本来对收购双方双赢的商业收购案，由于夹杂了大量微妙的政治思维和意识形态而被扭曲。2005年6月30日，美国众议院以333比92票的压倒优势，要求美国政府中止这一收购计划，并以398比15票的更大优势，要求美国政府对收购本身进行调查。7月30日，美国参众两院又通过了能源法案新增条款，要求政府在120天内对中国的能源状况进行研究，研究报告出台21天后，才能够批准中海油对优尼科的收购。这一法案的通过基本排除了中海油竞购成功的可能。国会担心或反对的理由是：（1）中国对石油的依赖与日俱增，国有控股的中海油如果收购了优尼科，那么优尼科的石油资源将优先输送给石油饥渴的中国；（2）中海油有l／3的并购资金来自中国政府的低息或无息贷款，相当于政府补贴，属不公平竞争；（3）在优尼科拥有的石油勘探、生产和提炼技术中，有些可用于军事，而中国是社会主义国家；（4）中国国有控股的石油公司在伊朗、苏丹这些地方都很活跃，一旦收购完成，这些可用于军事的技术，有可能会出口到这些受美国贸易制裁的国家。同时，美国是世界上最大的石油市场，把石油留在美国，为美国提供更多的石油天然气是一项更为有利的举措。由此可见，美国的政治和政策障碍，是这次中海油公司并购美国优尼科公司失败的最主要原因。
