证监会:券商高管绩效薪酬 四成需延付--亲民维稳网络舆情监测室

  本报讯 记者 陈颖婕 近日,证监会召开了新闻通气会,宣布就《证券公司治理准则(征求意见稿)》公开征求意见,对证券公司高管薪酬等方面进行规范。

  证监会表示,近年来对《公司法》、《证券法》进行了较大修改,《证券公司监督管理条例》对证券公司治理作出了若干新规定,加强金融机构高管薪酬管理需要完善证券公司治理机制,减少事前审批和业务限制、放大证券公司自主决策空间也要求增强公司自我管理能力,因此,《证券公司治理准则(试行)》已不能完全适应客观需要,需要适当调整、充实。

  对于市场关注的高级管理人员薪酬问题,新规明确规定证券公司高级管理人员绩效薪酬的40%以上应当实施延期支付,延期支付期限不少于三年。如果在延期支付的期限内,发现高管人员未能勤勉尽责,致使证券公司存在重大违法违规行为或重大风险的,公司应止付相应期限内未发放部分。此外,高管薪酬延期时间在符合相关规定的前提下可由公司自主决定。

  业内人士指出,从前期研究了解的情况看,中国一些证券公司高管薪酬存在结构不合理、考核机制不健全等问题。为此,此次修订要求证券公司建立合理有效的董事、监事、高级管理人员绩效考核与薪酬管理制度,规定董事、监事薪酬的确定程序,发挥公司股东的监督和约束作用,规定绩效薪酬延期支付和止付制度,建立绩效薪酬与风险挂钩的机制。

  此外,证监会同日还表示,根据《公司法》、《证券法》、《证券公司监督管理条例》,删除修改与之相冲突的规定,并根据实际需要对部分内容做细化规定。而对于约束机制和流程要求进行强化,内容包括:明确董事会、监事会会议的举行方式和记录方式、强化董事、监事履职的流程要求,修改监事的产生机制,建立董事、监事履职情况的报告和披露机制,充分细化对董事会专门委员会的规定等。

  上交所交易清算费率参数9月1日起调整

  本报讯 记者 陈颖婕 上海证券交易所日前发出通知,根据中国证监会《关于转发的通知》的规定,自2012年1月1日起,上海证券市场A、B股证券交易监管费由按交易额的0.04‰收取调整为按交易额的0.02‰收取,免收基金、债券证券交易监管费,权证参照基金执行。
