　　近日，温州市召开了“建立现代企业制度推进区域资本市场建设动员培训会”。会上下发了《关于加快建立现代企业制度推进区域资本市场建设的指导意见》（以下简称《指导意见》），明确了对参与股份制改造规范试点企业的六条优惠政策。

　　六条政策包括，参与股份制改造规范试点的企业，在进行股份制改造、合并或分立、股权转让或重组的过程中，涉及土地使用权变更和房屋所有权转移登记的，相关部门按规定给予减免过户费用，简化办事环节。企业因股份制改造而需要补缴营业税、企业所得税、个人所得税，如缴纳税款确实有困难的，经批准后，可以在企业正式申请上市之前给予暂缓缴纳试点企业在股改完成并通过规范化验收后3年内，以该企业改制规范验收完成的前一年计税利润为基数，每年递增计税利润比上年增长10%的，超过部分的企业所得税地方留成部分由同级财政给予全额补助等。

　　温州市金融办主任张震宇指出：“六大优惠政策，总体来说就两点：其一，不增加改制试点企业的财务负担；其二，省级税务部门为金改开了绿色通道，因股改还需要补缴营业税、企业所得税、个人所得税的，经批准后可以缓交，但在上市前必须缴清。”

　　《指导意见》指出，优惠政策是要鼓励温州市优质企业进行股份制改造，规范经营管理，完善法人治理结构，建立健全财务会计制度，缓解中小企业融资难、融资贵，扩宽直接融资渠道，培育企业上市后备资源。

　　具体的量化指标是：到2013年6月，实现托管登记企业50家以上，力争100家，争取挂牌交易企业10家以上；到“十二五”末，实现股份制改造规范企业200家，进场托管登记企业150家，争取挂牌交易企业30家以上。其中，要争取部分经股份制改造的优质企业率先进入温州股权营运中心挂牌交易或辅导上市。
